Terms of Use — FHSD Connect AS (Futurehome Platform)

Effective Date: June 25, 2025

These terms replace all previous terms for the Futurehome platform and Futurehome AS.

Definitions

Service – The application- and/or subscription-based services covered by the Terms in relation to the Customer.

Subscription – A paid license that provides full cloud access, cf. § 5.

User – Any person who uses the Service.

Customer – The legal or natural person who is the contracting party of FHSD CONNECT AS and legally responsible for the Service vis-à-vis FHSD CONNECT AS.

Terms – These standard terms, together with any appendices for the Service, as amended from time to time.

Basic Access – Local, manual control with no cloud functionality.

Strømkontroll™ – The automated energy-management service described in § 5.

FSP – Flexibility Service Provider; a service for aggregated grid balancing (see § 5).

Force Majeure – Events beyond FHSD Connect AS’s reasonable control, cf. §§ 11-12.

1 Who are we – and why does this apply to you?

FHSD Connect AS, org. no. 917 972 443, Gjerdrums vei 16, 0484 Oslo, has acquired the rights to the Futurehome platform from the bankruptcy estate of Futurehome AS (May 20, 2025). The Futurehome brand continues unchanged.

These terms of use (“Terms“) regulate the relationship between you as the end-user (“User“, “you”) and FHSD Connect AS when using the Service.

By installing, registering, or otherwise using the Service, you accept the Terms. If you do not accept the Terms, you must immediately cease use.

FHSD Connect AS offers an IoT and smart home service consisting of:

  1. Smarthub (hub) that communicates with your devices (several generations with varied support within Zigbee/Z-Wave/EnOcean/Cloud/TCP IP support).
  2. Futurehome app for iOS/Android (and some web functions).
  3. Cloud service with subscription that enables remote control, notifications, updates, etc.
  4. Associated or supported hardware (thermostats, relays, HAN sensors, etc.).

These terms of use (“Terms“) regulate the relationship between you (“User“) and FHSD Connect AS when using the platform.

By installing, registering, or otherwise using the service, you accept the terms. If you do not accept the Terms, you must immediately cease use.

2 General rules for use

The Service is available for your own personal use and shall not be used for commercial purposes or for illegal or unauthorized use. When using the Service, you must comply with applicable international laws, including local laws and regulations in your country of residence (collectively referred to as “applicable laws”). In particular, but without limitation, you agree not to:

  • Use the Service from FHSD Connect AS in an unlawful manner or in a manner that promotes or encourages illegal activity, including (without limitation) copyright infringement; or
  • Attempt to gain unauthorized access to the Service or any networks, servers, or computer systems connected to the Service; or
  • Modify, adapt, translate, or reverse engineer any parts of the Service, or format or frame any parts of the pages comprising the Service, save to the extent expressly permitted in these terms or by applicable laws.
  • Use the Service from FHSD Connect AS to monitor or collect personal data from third parties without written consent.
  • Use the Service from FHSD Connect AS to control devices that are not in accordance with the device’s technical specifications.

3 Establishment of the service

Prices, payment terms, and any fees are as set out in the current price lists on www.futurehome.no and other websites owned by FHSD Connect AS.

The Service is established through the Customer’s electronic registration sent to FHSD Connect AS directly from the Customer or through an authorized dealer, and that FHSD Connect AS accepts the customer relationship. FHSD Connect AS may perform a credit check of the Customer. FHSD Connect AS may, on objective grounds, refuse to establish a customer relationship with the Customer.

Price – as stated in the purchase confirmation. Price changes will be notified at least 30 days before they take effect; you can then cancel free of charge before the change takes effect.

Invoicing takes place annually via our payment partner Riverty.

In case of payment default, the account will be downgraded to Basic Access and can be reactivated automatically when payment is registered.

4 Duration and termination

Unless otherwise agreed, the Service starts as soon as practically possible after FHSD Connect AS‘s acceptance of the customer relationship, normally immediately, and the Service continues until terminated.

Trial period – 4 weeks with full functionality unless otherwise stated in the App.

In consumer relationships, if the Service is established through distance selling, the Customer may withdraw from the agreement within 14 days after FHSD Connect AS has fulfilled its duty to inform in accordance with the Right of Withdrawal Act. Upon exercising the right of withdrawal, the Customer shall pay for the use of the Service until the right of withdrawal was exercised, including expenses associated with establishment and installation.

The Customer may terminate the Service at any time through electronic notification to FHSD Connect AS. The Service runs until the end of the period for which it has already been paid. If a binding period has been agreed, the Customer shall in any case pay fixed fees that would have accrued during the binding period. Existing customers who own their own Smarthub have a one-month notice period and will be refunded any remaining amount for the current subscription period.

FHSD Connect AS may, by written notice and with a one-month notice period, terminate the Service if there is objective reason for doing so. If a party materially breaches the Terms, the Service may be terminated (rescinded) with immediate effect. Before the agreement is rescinded, the defaulting party shall, if possible, be notified in writing. The notice shall state the grounds for rescission and set a deadline for rectification.

When the termination takes effect, the Customer’s right to use the Service and FHSD Connect AS‘s obligations related to the Service cease simultaneously. Termination does not affect rights and obligations the parties have accrued prior to the termination of the Service.

5 The Service

To use the services offered by FHSD Connect AS, the user must:

  • Create a user profile in the app.
  • Use a smartphone, tablet, web browser, or other device or program that supports the use of the app.
  • You must be connected to the Internet or mobile network.
  • You must be within the trial period or have an activated and paid subscription.

The user profile is unique to each user and is used to identify the user and ensure that only authorized users have access to your location.

The Service offered by FHSD Connect AS allows for the control and monitoring of a variety of functions and parameters.

Functions that users of the Service from FHSD Connect AS have access to include: control of lights, temperature, EV charging, water heaters, access control, fire safety, water leakage, and other various services controlled by IoT devices, which include a range of compatible IoT devices that can be controlled manually from the app, or automatically at a given time or action.

By activating Strømkontroll™ Power manager), you grant FHSD Connect AS the right to automate the control of selected devices in your home (e.g., EV chargers, water heaters, heaters, etc.) to optimize energy use. The automation takes place based on electricity price, grid rent, load balancing, and similar criteria as specified in the app.

In some geographical areas, FHSD Connect AS may also use these devices for aggregated control towards the power grid, as part of the company’s role as Flexibility Service Provider (FSP). This means that the system can temporarily increase or decrease your power consumption for short periods, to contribute to balancing the power grid. You will always be able to see which devices are included in Strømkontroll, and you can activate/deactivate products to be included in the Service in the app.

By using automations and power control in the app, you grant FHSD Connect AS access to collect data from connected devices to optimize algorithms and display information in the Futurehome app and to control devices (thermostats, relays, EV chargers, etc.) to maintain low energy costs. This control can be activated using automations or algorithms specified by the user and FHSD Connect AS within the limitations of the devices or the app, or through FHSD Connect AS optimizing energy consumption for other reasons to achieve lower energy costs without compromising comfort or convenience.

The Service from FHSD Connect AS shall be used in accordance with the product and service descriptions in the Futurehome user manual, FHSD Connect AS’s websites, and other distributed materials for Futurehome. FHSD Connect AS may also process personal data when we offer our services to you. This is necessary for the services to function. To use these services, users hereby consent to the processing of personal data listed in the privacy statement. See our privacy statement for more information on how FHSD Connect AS processes personal data. To serve our users, the information you generate when using our platform may be used to offer, maintain, and improve the services and to provide support when needed.

FHSD Connect AS may contact users for support and research purposes. Users can object to being contacted by FHSD Connect AS for these purposes and get access to Smarthub and the associated devices for support purposes, in the app under “my profile”. 6 Equipment and installation

  • Equipment purchased from FHSD Connect AS is the customer’s property.
  • The warranty on equipment follows the regulations for purchase, but FHSD Connect AS does not guarantee that the equipment will be able to support all future functionality. The warranty on the equipment does not cover damage caused by external physical influences or other circumstances such as incorrect use, vandalism, lightning strikes, fire or flood and/or other similar damages that may occur under “force majeure”.
  • Some devices and equipment purchased from FHSD Connect AS must be installed by an authorized electrician. The user manual for the specific product will provide information on this.
  • For all products offered by FHSD Connect AS, the buyer is responsible for complying with local installation laws.
  • We recommend that you exercise caution when installing devices connected to active electrical circuits, as electric shock can be fatal. Always remember to turn off the power before installing Futurehome products.

7 Products and integrations included in the service(s) from FHSD Connect AS

We distinguish between three product categories (support priority high → low):

  1. Futurehome products
  2. Works with Futurehome products (formal partner agreements)
  3. Community products (generic Zigbee/Z-Wave)

The list changes continuously without special notice.

The products in category 1 and 2 are included in the paid service. Devices/products/integrations in category 3 are not included in the paid service. FHSD Connect AS provides no guaranteed support or error correction on Community products; use is at your own risk. FHSD Connect AS cannot be held liable for errors or deficiencies in community products. No refund, discount or other type of financial compensation is offered for errors or deficiencies within category 3 products.

FHSD Connect AS offers services from third parties through the Futurehome app as part of Playground or where the user has connected to Futurehome from the third party’s own service. The services of these third parties are beyond FHSD Connect AS’s control and the service may be affected by the reliability of the third party. The user agrees to:

  • Share specified data with third parties to be part of the service
  • That the use and access to the Service is dependent on third-party service providers
  • That the services from these third-party providers in some cases do not work 100%, and thus affect how the Service of FHSD Connect AS works
  • That FHSD Connect AS is not responsible for damage or loss due to the operation of these third-party products

8 Privacy

FHSD Connect AS will only use your personal information in accordance with the terms of our privacy statement, which is available here: Privacy Statement. To use the service, you must have confirmed and agree that you have read and accepted the privacy policy.

FHSD Connect AS collaborates with R&D institutions to develop future solutions. Information may be shared with these professionals for R&D purposes.

As part of the Service, FHSD Connect AS (“Futurehome”) reserves the right to send you service messages (e.g., operational alerts, security information, changes in functionality or other customer-relevant updates).

  • These messages are necessary to deliver the Service and therefore fall outside the marketing law’s requirement for prior consent.
  • Service messages can be sent via email, push notification, SMS or other communication channels you have registered with us.
  • The messages do not contain marketing. If we wish to send newsletters or other advertising content, we will obtain separate consent in accordance with § 15 of the Marketing Act.
  • You cannot opt out of service messages without terminating the Service, but we strive to keep the volume low and the content relevant.

9 Intellectual Property Rights

FHSD Connect AS owns all rights to every patent, copyright, trademark and other intellectual-property right in the Futurehome brand, the Service and all material contained therein. This material includes all information, data, text, music, audio, images, graphics, video messages, all source code and other content, as well as any updates, modifications, enhancements and derivatives thereof.

The rights granted to the User to utilise the Service are conditional upon acceptance of these Terms of Use. By accepting the Terms, the User agrees to:

  • not commercially exploit the Service from FHSD Connect AS in any way without the express consent of FHSD Connect AS;
  • not alter, create derivative works from or disassemble the Futurehome platform;
  • not access the Service in order to build a similar or competing service;
  • not upload, transmit or distribute any viruses or software intended to damage or alter a computer or communications network;
  • not access (or attempt to access) any part of the Futurehome platform other than through the interfaces provided by Futurehome;
  • not remove, obscure or modify any proprietary notices (including trademarks and service marks) contained in or displayed by the Futurehome platform.

The User acknowledges that use of the Service may require third-party software that is subject to third-party licences. The User agrees to automatic updates of the Service from Futurehome and the associated third-party software.

10 Third-Party Providers

Futurehome uses third parties to offer its services. The services of these third parties are beyond Futurehome’s control and the service may be affected by the reliability of the third party. The user agrees to:

  • That the use and access to the service is dependent on third-party service providers
  • That the services from these third-party providers in some cases do not work 100%, and thus affect how the Service of Futurehome works
  • That Futurehome is not responsible for damage or loss due to the operation of these third-party products

The user acknowledges that Futurehome uses third-party service providers for parts of its service. For example, data storage with Amazon Web Services (AWS).

11 Limitation of Liability

Area of Use – Customers are responsible for the installation, operation, and use of the system. Futurehome cannot be held responsible for damages, costs, or problems related to incorrect installation or use by the customer or a third party.

Limited Warranty and Liability – Futurehome can under no circumstances be held liable for indirect, incidental, or consequential damages (including – without exception – lost profits, lost savings, business interruption, or other costs related to the removal or replacement of products). Regardless of any damages the customer may incur for any reason, Futurehome’s total and cumulative liability to the customer for the products described herein shall be limited to the terms and conditions of commercial sale of Futurehome.

Force majeure: FHSD Connect AS is not responsible for non-delivery or errors in the service due to circumstances beyond our reasonable control, including – but not limited to – public orders, natural events, strikes, lockouts, war, riots, pandemics, serious network/power outages or other unforeseen events.

12 Availability

FHSD Connect AS aims for the service to be highly reliable and available at all times, but does not guarantee that the service will be available 100% of the time. The Futurehome platform may be subject to sporadic disruptions and errors for a variety of reasons beyond FHSD Connect AS’s control, including the uptime of broadband service providers, etc. The user acknowledges these limitations and agrees that FHSD Connect AS is not responsible for damage or loss resulting from the Service not working at all times.

Services provided by Futurehome are intended to be used for non-critical information and control of Futurehome services, including equipment manufactured by FHSD Connect AS and third parties. The user agrees that the service from FHSD Connect AS is not certified, or intended for emergencies. Futurehome provides no guarantee that the security-enhancing services will work.

The Customer shall report errors or deficiencies in the Service, or suspicion thereof, to FHSD Connect AS as soon as possible. The Customer loses the right to invoke a defect if FHSD Connect AS does not receive notification of the defect without undue delay after it was, or should have been, discovered.

FHSD Connect AS shall, as soon as practically possible after becoming aware of a defect, take reasonable steps to remedy it.

Some of the equipment FHSD Connect AS uses in the service relies on battery power as its primary power source. The expected lifespan is most often stated by the supplier and is indicative of the expected lifespan. External or internal influences can have a negative effect on the expected battery life. For example, a device that is exposed to frequent temperature changes or placed outdoors may have a shorter lifespan than the indicated guiding time. Network errors or poor communication can also affect the device’s expected battery life. FHSD Connect AS will not be financially responsible for replacing batteries if the lifespan is perceived to be less than the guidance describes.

13 Suspension, termination & default

FHSD Connect AS reserves the right to temporarily suspend or permanently terminate all or part of the service, with or without notice, e.g., for security reasons, improper use of the service, protection of your data, and otherwise to protect your interests. FHSD Connect AS may temporarily block (or in severe cases terminate) all or part of the Service when one or more of the following conditions exist:

  • Lack of payment Invoice has not been paid by the deadline and there is no timely, justified objection.
  • Incorrect or insufficient customer information The Customer has provided incorrect information relevant to the customer relationship (e.g., name, address, billing details).
  • Breach of technical requirements The Customer uses equipment that is not approved or that violates these Terms.
  • Misuse or unlawful acts Reasonable suspicion that the Service is being misused, applicable law is being violated, third-party rights are being infringed, or the Service is being used in a way that could harm network security/functionality.
  • Security, network integrity or public interest considerations Measures are necessary to protect data, prevent unauthorized access, or safeguard critical public interests.
  • Notification and rectification FHSD Connect AS will notify the Customer in writing (email/push) before blocking is implemented, as far as practically possible, and provide a reasonable deadline for rectification. If the matter is not rectified within the deadline, this will be considered a material breach and may lead to continued blocking or termination.
  • Reactivation The Service will be reopened as soon as the reason for the blocking has been rectified or ceased to exist.
  • In case of non-payment, reactivation occurs automatically when payment is registered.
  • Customer’s own blocking The Customer can request temporary blocking via Customer Service; the blocking will be implemented as quickly as possible and lifted when the Customer requests reactivation.
  • Costs during blocking Ordinary fixed fees continue to accrue as long as the subscription has not been terminated, even if the Service is blocked.
  • FHSD Connect AS may also limit certain functions (partial blocking) on the same grounds.
  • Limitation of liability FHSD Connect AS is not responsible for losses resulting from blocking that occurs in accordance with the above points, unless otherwise provided by mandatory law.

14 Changes to terms

Futurehome reserves the right to update these terms of use. The terms applicable at any given time will always be available on our websites and in our services. We recommend that you review the terms regularly so that you are aware of any changes. You will be notified of changes that have a significant impact on the use of the service. By continuing to use the Service after the terms of use have been updated and you have been notified of any significant changes, you are deemed to have accepted these changes. Any changes to terms are listed below:

  • Changes ordered by you You can request to upgrade, downgrade or change the service as long as we offer the alternatives. We may accept or reject the request in the same way as with a new order.
  • Changes made by us We may update prices, functions or terms. If the change is not clearly to your advantage, you will receive written/electronic notice at least 30 days before it takes effect.
  • Price adjustments due to authorities Increased taxes, fees or other public costs may lead to immediate price adjustments. You cannot terminate free of charge on this basis.
  • Remote update of equipment To deliver the service securely, we may – without further notice – remotely install software, update settings or change firmware in the hub / associated devices. Such updates may change or improve functions.
  • Change of user ID or technical parameters We may change user ID or similar identifier for objective reasons (e.g., security). You will receive reasonable prior notice and must cooperate if necessary. We do not cover your internal costs related to the change.
  • Transfer FHSD Connect AS may freely transfer its rights and obligations under this agreement to other companies in the FHSD Connect group, or in connection with the transfer of the associated business, provided that the transfer does not entail significant disadvantage for the Customer.

15 Legal Venue

Any disputes shall be resolved amicably. If not, the case will be decided by Oslo District Court.
